Tips for founding an LLC
As soon as the preparation phase is finished, the foundation can be built. Here are some points not to be overlooked.
Incorporation
Calculate an offer for the establishment of your LLC and enter the necessary data into our system.
Notarization
In the next step, sign the required documents and have your signature notarized.
Registered capital
Transfer the registered capital to a blocked account at a bank and send the original confirmation of the capital payment to Startups.ch.
Send the foundation documents
Send all foundation documents by registered mail to Startups.ch. Subsequently, additional documents will be prepared by Startups.ch and sent to the appropriate commercial registry office.
Excerpt from the commercial register
Depending on the canton, you will receive the excerpt from the commercial register after approximately 2-4 weeks. The extract will first be checked by Startups.ch.
Social insurance
After entry in the commercial register, registration with the cantonal compensation office is mandatory.

After receiving the excerpt from the commercial register, we will prepare the VAT registration for you.Advertising materialsYou can now order your advertising material (e.g. business card) and register your Internet domain.

What should I keep in mind when creating an LLC?
A minimum of CHF 20,000 (fully released) is required to establish an LLC.
Info: The founder of an AG or Sagl cannot draw money from the pension fund because he is employed in his own company on the basis of an employment contract. He is therefore not considered self-employed under OASI law.
The LLC requires at least one partner and one managing director, which can be the same person. A managing director with signature authority must also be a resident of Switzerland.
The audit is mandatory for 10 or more employees. Under Article 727 CO, an LLC is subject to ordinary audit if it exceeds two of the following thresholds in two consecutive fiscal years: Balance sheet total: 20 million francs - Turnover: 40 million francs - Full-time employees: 250.
Your Sagl is subject to value added tax only if its turnover exceeds CHF 100,000. However, you can also voluntarily apply VAT to a lower turnover.
